Terms & Conditions

These Terms and Conditions (“Agreement”) govern the use of services provided by Telexchange, Inc. (“Telexchange,” “we,” “our,” or “us”). By engaging Telexchange for telecommunications, cloud, voice, internet, consulting, brokerage, or related services, you (“Customer”) agree to these Terms.


1. NATURE OF SERVICES

Telexchange acts as an independent telecommunications consultant and broker. We assist Customers in evaluating, procuring, and managing services from third-party carriers, cloud providers, and technology vendors (“Service Providers”).

Telexchange does not directly provide telecommunications transmission services unless explicitly stated in writing.

2. THIRD-PARTY SERVICES

All telecommunications, internet, voice, cloud, and related services are subject to the Service Provider’s:


  • Master Service Agreement (MSA) 
  • Acceptable Use Policy (AUP) 
  • Service Level Agreements (SLA) 
  • Tariffs or regulatory filings
     

Customer agrees that Service Provider terms govern the delivery, uptime, outages, and performance of those services.


Telexchange is not responsible for carrier outages, service interruptions, billing errors by Service Providers, or network failures.


3. ORDERS AND AUTHORIZATION

Customer authorizes Telexchange to:

  • Act as Customer’s agent for purposes of quoting, negotiating, and submitting service orders 
  • Communicate with Service Providers on Customer’s behalf 
  • Obtain service availability and pricing information

 Orders are binding once submitted to and accepted by the Service Provider.


4. BILLING AND PAYMENTS

Billing may occur through:

  • The Service Provider directly 
  • Telexchange (in cases of aggregated or summarized billing) 


Customer agrees to pay all invoices by the stated due date. Late payments may result in service interruption, late fees, or collection action by the Service Provider.


Telexchange is not responsible for Service Provider billing disputes but will assist in good faith in resolution efforts.


5. COMMISSIONS AND COMPENSATION

Telexchange is typically compensated by Service Providers through commissions. This compensation does not increase Customer pricing beyond standard rates unless expressly disclosed.


If Customer circumvents Telexchange by directly contracting with a Service Provider introduced by Telexchange during the engagement period, Telexchange reserves the right to pursue compensation recovery.


6. TERM AND TERMINATION

The term of third-party services is governed by the Service Provider agreement.


Telexchange consulting engagement may be terminated by either party with written notice; however:

  • Existing carrier contracts remain in effect 
  • Early Termination Fees (ETFs) may apply under carrier agreements

 

Telexchange is not responsible for carrier-imposed early termination charges.


7. LIMITATION OF LIABILITY

To the maximum extent permitted by law:


Telexchange shall not be liable for:

  • Indirect, incidental, consequential, or punitive damages 
  • Lost profits or business interruption 
  • Carrier outages or performance failures

 

Telexchange’s total liability under this Agreement shall not exceed the commissions received by Telexchange related to the affected service during the preceding twelve (12) months.


8. INDEMNIFICATION

Customer agrees to indemnify and hold harmless Telexchange from claims, damages, or losses arising from:

  • Customer misuse of services 
  • Violation of carrier Acceptable Use Policies 
  • Regulatory violations 
  • Unauthorized network activity
     

9. REGULATORY COMPLIANCE

Customer is responsible for compliance with all applicable laws, including but not limited to:

  • FCC regulations 
  • CPNI requirements 
  • HIPAA (if applicable) 
  • PCI-DSS (if applicable) 
  • Data privacy laws
     

Telexchange does not provide legal or regulatory compliance advice.


10. CONFIDENTIALITY

Both parties agree to maintain confidentiality of proprietary business, technical, and pricing information.

Confidential information shall not be disclosed without written consent unless required by law.


11. DATA SECURITY

Telexchange implements reasonable administrative and technical safeguards. However, Customer acknowledges that no system is fully secure and assumes risk associated with internet-based services.


12. SMS COMMUNICATIONS

By providing a phone number, Customer consents to receive SMS communications related to service coordination, provisioning, and support.

  • Message frequency varies 
  • Message and data rates may apply 
  • Reply STOP to opt out 
  • Carriers are not liable for delayed or undelivered messages
     

Phone numbers are not sold or shared for marketing purposes.


13. FORCE MAJEURE

Telexchange shall not be liable for failure or delay caused by events beyond reasonable control, including but not limited to:

  • Natural disasters 
  • Government actions 
  • Carrier infrastructure failures 
  • Labor disputes 
  • Internet outages 

14. GOVERNING LAW

This Agreement shall be governed by the laws of the State of Wisconsin, without regard to conflict of law principles.


Any disputes shall be resolved in the courts located in Wisconsin.


15. ENTIRE AGREEMENT

These Terms constitute the entire agreement between the parties regarding Telexchange services and supersede prior discussions or representations.
